Terms of Service — AgentGuard

1. Acceptance of Terms

By accessing or using AgentGuard ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and AgentGuard.

2. Description of Service

AgentGuard is an AI agent output monitoring and alerting service. The Service reviews text outputs against user-defined or pre-built compliance rules, flags potential violations, sends alerts, and generates audit logs.

The Service does not provide legal advice. AgentGuard is a monitoring and alerting tool only. It does not constitute legal counsel, legal advice, or a legal determination of any kind. Users are solely responsible for ensuring their compliance rules are reviewed by qualified legal counsel.

3. User Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your API keys and account credentials. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to use the Service to:

Monitor outputs for purposes that violate any applicable law or regulation
Attempt to circumvent any rule engine or monitoring mechanism
Use the Service to make automated legal decisions without human review
Resell, redistribute, or sublicense the Service without our written consent
Use the Service in any manner that violates the rights of any third party

5. Monitoring and Alerting — No Legal Guarantee

AgentGuard's rule engine performs automated pattern-matching against text outputs. Due to the nature of automated processing, AgentGuard may produce false positives (flagging non-violations) or false negatives (failing to flag actual violations). AgentGuard makes no guarantee that its monitoring is complete, accurate, or legally sufficient.

The Service is designed to assist compliance teams, not replace them. All outputs, rules, and alerts should be reviewed by qualified legal professionals. Reliance on AgentGuard alone does not ensure legal compliance.

6. Regulatory Templates

Any regulatory rule templates (GDPR, CCPA, EEOC, or other) are provided for informational purposes only. Regulatory templates must be reviewed and approved by a qualified attorney before use. AgentGuard does not warrant the accuracy or completeness of regulatory templates.

7. Data and Audit Logs

AgentGuard stores monitored outputs and audit log data as described in our Privacy Policy. You retain all rights to your data. We do not use your monitored outputs for model training or any purpose other than providing the Service.

Audit logs are retained for 90 days (Starter plan) or 1 year (Growth and Business plans). Export and retention features are subject to plan limits.

8. Billing and Cancellation

Subscription fees are billed monthly in advance. All fees are non-refundable. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We reserve the right to modify pricing with 30 days' notice.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AgentGuard DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AgentGuard does not guarantee that the Service will be error-free, uninterrupted, or that it will detect all potential violations. The Service is not a substitute for legal advice from a qualified attorney.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AgentGuard SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

AgentGuard's total liability shall not exceed the amounts paid by you to AgentGuard in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless AgentGuard and its officers, directors, employees, and agents from and against any and all claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or your violation of these Terms.

12. Modifications

We may modify these Terms at any time. We will provide notice of material changes via email or in-Service notification. Continued use of the Service after notice of changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
